Consulting terms

These are the same terms attached to every signed quote and invoice.

1. Who this agreement is between

Consultant means Khamsay Phimmasanh-Baig, sole proprietor, doing business as AskKhamsay, 2 Ames Street, West Warwick, RI 02893.

Client means the person or business named on the signed quote or invoice.

The approved quote or invoice for the work, plus these terms, together form the whole agreement.

2. Scope of work

The scope is exactly what the approved quote or invoice describes. Anything not listed there is out of scope. New or changed work gets a fresh written quote before it begins.

3. Booking deposit

A $49 booking deposit reserves a start date. The deposit is non-refundable, but it is credited in full toward the project's first invoice.

4. Payment terms

Invoices are due within 15 days of the date on the invoice (Net 15). Fixed-scope work may be split into up to three installment invoices, paid in order; a later phase begins after the earlier invoice is paid.

5. Late payment

If an invoice is 7 or more days overdue, work pauses. It resumes once the invoice is paid. Any pause moves the timeline by the length of the pause.

6. Ending the engagement early

Either side may end the engagement with 7 days' written notice. The Client keeps all work delivered and paid for up to that point. Any prepaid months or phases not yet used are refunded pro-rata within 14 days. The $49 booking deposit is not refunded.

7. Revisions

Each fixed-price project includes 2 rounds of revisions per deliverable. Additional revision rounds or genuinely new work are quoted in writing before being billed.

8. What the Client provides

The Client provides content, account access, feedback, and decisions within 5 business days of a request. Delays in these shift the timeline accordingly.

9. Ownership and portfolio

When the invoice for the work is paid in full, the Client owns the final deliverables. Until then, the Consultant retains ownership. The Consultant may show completed work in her portfolio unless the Client asks otherwise in writing.

10. Coaching sessions

Where coaching is included, sessions are 30 minutes, scheduled by mutual agreement, and must be used within the coaching period stated in the quote. Reschedule with at least 24 hours' notice; missed sessions without notice are not refunded or carried over.

11. Confidentiality

Both sides keep each other's non-public business information private during and after the engagement.

12. No guaranteed results

The Consultant delivers the agreed services professionally and in good faith, but does not guarantee specific business outcomes such as traffic, sales, hiring results, or revenue.

13. Limitation of liability

The Consultant's total liability under this agreement is capped at the amount the Client actually paid under it.

14. Governing law

Rhode Island law applies. If a dispute comes up, both sides first try to resolve it in good faith by direct discussion before going to court.

15. Signature

Client: typed full name, email, and date, with a check mark agreeing to these terms.

Consultant: Khamsay Phimmasanh-Baig, DBA AskKhamsay.
